MOONSHINE END USER LICENSE AGREEMENT

Last updated: October 8, 2026

Copyright (c) 2026 Tridant, Inc. All rights reserved.

PROPRIETARY AND CONFIDENTIAL

This agreement is between you and Tridant, Inc., a Delaware corporation
("Tridant", "we", "us"). It covers Moonshine Server, the Moonshine desktop
app, the browser interface that Moonshine Server provides, their
documentation, and any updates Tridant gives you (together, the "Software").

By installing or using the Software you accept this agreement. If you do not
accept it, do not install or use the Software. If you accept it for an
organization, you confirm that you have the authority to bind it, and "you"
means that organization.

If you have signed a separate license agreement with Tridant, that agreement
governs wherever it conflicts with this one.

1. LICENSES

Moonshine Server needs a license, identified by a license key (a MOON- key).
A license is either:

  - a paid license, bought from Tridant; or
  - a free license, such as a beta or a trial, which lasts for the period
shown when you receive it. A Moonshine beta license lasts until
    January 2, 2027.

Downloading the Software, including from download.moonshine.software, does
not by itself give you a license. The Software is licensed, not sold.

2. WHAT YOU MAY DO

While you hold a valid license, Tridant grants you a non-exclusive,
non-transferable (except under section 9), worldwide right to:

  a) install and run Moonshine Server on as many computers at once ("show
machines") as your license allows. A paid Moonshine license allows
two. Your account at https://id.tridant.io shows the number for each
     license; and
  b) install and use the Moonshine desktop app, and use the browser
interface, on any number of computers and by any number of operators,
to work with a Moonshine Server that runs under a valid license.

You may use the Software for commercial work, including shows, events and
installations you deliver for clients.

A paid license is perpetual, subject to sections 4 and 11. A free license
ends automatically at the end of its period.

3. ACTIVATION AND LICENSE CHECKS

Moonshine Server is activated over the internet with a license key. While it
runs, it checks its license with Tridant's licensing service, tridant id,
about once a day when it can reach it. Activation and checks send the
license key, a hashed identifier of the machine, its hostname and operating
system, and the Moonshine version. The privacy policy at
https://moonshine.software/privacy/ describes what is sent and kept.

If a license ends, is revoked or refunded, or cannot be checked for longer
than the Software allows offline, Moonshine Server stops sending content to
its outputs, stops playback and locks its controls until a valid license is
activated. Your projects are not deleted.

You can release a show machine, and move its seat to another machine, from
the Software or from your account at https://id.tridant.io.

4. UPDATES

A paid license includes the versions Tridant releases during its update
window: 12 months from the date of purchase or, if you bought the license
while Moonshine was in beta, 12 months from the day Moonshine leaves beta.
An update renewal, bought separately, extends the window by 12 months.

After the window ends, you may keep using any version released before it
ended, indefinitely. Versions released after it are not covered by your
license until you renew.

A free license covers the versions released during its period.

Tridant is not obliged to release updates, and may add, change or remove
features in any version.

5. BETA SOFTWARE

Versions released while Moonshine is in beta, and other pre-release
versions, may be incomplete, contain errors, change without notice or be
withdrawn. A beta version may stop working when the beta it was released for
ends. Rehearse and test before relying on one in a show, and keep a
contingency.

If you send Tridant feedback or suggestions, Tridant may use them without
any obligation to you.

6. RESTRICTIONS

You may not:

  - run Moonshine Server on more show machines at once than your license
    allows, or share a license key outside your organization;
  - circumvent or interfere with activation, license checks, seat limits,
    or the Software's copy and privacy protection;
  - copy, modify, reverse engineer, decompile or disassemble the Software,
by any means, including automated or AI tools, except where the law
    allows it despite this restriction;
  - use the Software, or anything learned from it, to build or help build
    a product or service that competes with it;
  - extract or reuse the Software's data, such as its projector and lens
    library, outside the Software;
  - sell, sublicense, rent, lease or lend the Software or a license key, or
offer the Software to third parties as a hosted service, except for a
    transfer under section 9;
  - remove or alter any proprietary notice in the Software; or
  - use the Software in breach of any law.

7. THIRD-PARTY SOFTWARE

Moonshine Server runs on TouchDesigner or TouchPlayer, which are products of
Derivative Inc. and are licensed separately by Derivative under its own
terms. You need your own TouchDesigner or TouchPlayer license suited to your
use; a Moonshine license does not include or license any Derivative product.
Where the installer offers to download TouchDesigner, it downloads it
unmodified from Derivative's own servers, and your use of it is governed by
Derivative's agreement with you, not by this one.

The Software includes third-party and open-source components that their
owners license under their own terms. Those terms govern those components
and are listed in the third-party notices that accompany the Software.
Hardware drivers, such as Blackmagic Desktop Video, are governed by their
own licenses.

8. OWNERSHIP, PROJECTS AND DATA

The Software is the proprietary and confidential intellectual property of
Tridant and its licensors, protected by copyright and other intellectual
property laws and treaties. Tridant and its licensors keep all rights in it
that this agreement does not grant to you.

Your projects, media and everything you make with the Software belong to
you. They stay on your machines, and Tridant does not receive them. The
Software contacts Tridant only to activate and check its license and to
look for updates, as the privacy policy describes.

9. TRANSFERS

You may move a paid license between your own machines at any time (section
3). You may transfer a paid license to another person or organization, for
example when you sell your business or your equipment, by contacting
Tridant. The new holder must accept this agreement, and you must stop using
the Software under that license. Free licenses cannot be transferred.

10. REFUNDS

Refunds follow the refund policy in the Moonshine terms of use at
https://moonshine.software/terms/#refunds. When the purchase of a license is
refunded or reversed, that license ends. When an update renewal is refunded,
the update window returns to its previous end date.

11. TERMINATION

This agreement ends automatically if you breach it. Tridant may also revoke
a license that was obtained by fraud or is used in breach of this agreement.
When a license ends, your right to run Moonshine Server under it ends. When
this agreement ends, you must stop using the Software and uninstall it.
Sections 6, 8, 12, 13, 16 and 17 survive.

12. NO WARRANTY

TO THE EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS" AND "AS
AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT. TRIDANT DOES NOT WARRANT THAT THE SOFTWARE WILL BE
UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Moonshine is used in live performance. You are responsible for rehearsing,
testing and keeping a contingency for every show that relies on it. The
Software is not designed for life-safety systems, or for any use in which
its failure could lead to death or personal injury.

13. LIMITATION OF LIABILITY

TO THE EXTENT THE LAW ALLOWS, TRIDANT IS NOT LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, FOR ANY LOSS OF
PROFITS, REVENUE, DATA OR GOODWILL, OR FOR THE COST OF A CANCELLED OR
INTERRUPTED SHOW OR INSTALLATION, ARISING OUT OF THIS AGREEMENT OR THE
SOFTWARE, EVEN IF TRIDANT WAS ADVISED OF THEIR POSSIBILITY. TRIDANT'S TOTAL
LIABILITY ARISING OUT OF THIS AGREEMENT OR THE SOFTWARE IS LIMITED TO THE
AMOUNT YOU PAID TRIDANT FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM,
OR USD 50 IF YOU PAID NOTHING.

If you are a consumer, nothing in this agreement limits the rights you have
under the mandatory laws of the country where you live.

14. EXPORT AND SANCTIONS

You may not use, export or re-export the Software in breach of U.S. export
control or sanctions laws, or those of any other country that apply to you.
You confirm that you are not located in a country or region subject to
comprehensive U.S. sanctions, and that you are not on a U.S. government
list of restricted parties.

15. U.S. GOVERNMENT USERS

The Software is "commercial computer software" and its documentation is
"commercial computer software documentation". U.S. government users receive
only the rights this agreement grants to all users.

16. GOVERNING LAW AND DISPUTES

This agreement is governed by the laws of the State of California, United
States, without regard to its conflict-of-law rules. The United Nations
Convention on Contracts for the International Sale of Goods does not apply.
Before bringing a claim, you agree to try to resolve the dispute informally
by emailing support@tridant.io. If it is not resolved within 30 days, either
party may bring a proceeding in the state or federal courts located in
California.

17. GENERAL

This agreement, the Moonshine terms of use and the privacy policy are the
entire agreement between you and Tridant about the Software, subject to any
signed agreement as stated above. Tridant may update this agreement; an
updated version applies to the versions of the Software it is released
with. If any provision is unenforceable, the rest remains in effect. Not
enforcing a provision is not a waiver of it. You may assign this agreement
only with a transfer under section 9. Tridant may assign it to a successor
in a merger, acquisition or sale of assets.
